Wilfrid Laurier University’s Board of Governors consists of eight standing committees and a sub-committee that meet on a regular basis throughout the year to review and recommend action in the areas within the control of the Board of Governors.

The Executive Committee is empowered to act on behalf of the Board with powers of executive authority as delegated. The Committee also has overall responsibility for the completion of annual and strategic planning.
The Audit, Risk and Compliance Committee provides oversight on the financial reporting process, the internal and external audit process, the University’s system of internal controls, compliance with statutory regulations, and policies which fall within the Committee’s mandate. The Committee provides oversight for an enterprise risk management framework, including risk management and mitigation strategies for strategic, systemic and significant operational risks.
The Committee also provides an avenue of communication among the external auditors, management, the internal auditor, and the Board of Governors.

The Development Committee is responsible for ensuring active engagement of the Board of Governors in setting policy for and directly supporting ongoing fundraising activities of the University.
The Finance, Investments & Property Committee has overall responsibility for the allocation, monitoring, and evaluation of all financial and capital resources of the University while ensuring fiscal responsibility and future sustainability. The committee provides oversight of all matters of property, most notably capital strategy, project approvals and implementation.

The Human Resources Committee shall be responsible for overseeing employee development, engagement, policies, practices and trends within the University.

The Compensation Committee shall be responsible for overseeing the salary, benefits and compensation settlements and arrangements for all employees of the University.
Due to the confidential and personal nature of some matters before the Committee, meetings of the Compensation Committee dealing with compensation, bargaining or individual personnel matters will be conducted in camera and the minutes of such meetings shall remain confidential.
Non-Board Committee Member
To advise and assist the Pension Committee and the Finance & Investments Committee in meeting their mandates with respect to governance and fiduciary obligations for oversight of the Pension Plan and other University investments including the Endowment Fund, Sinking Fund, Jarislowsky Fund, Lazaridis Fund and the Balsillie Fund. This mandate includes monitoring investment performance for compliance with relevant investment policy and recommending any changes to the University’s investment policies or managers.
Non‐Board Sub‐Committee Members
The Governance Committee has overall responsibility for the recruitment and evaluation of the membership of the Board of Governors as well as the selection of officers, chairs and membership of the standing committees. The committee has overall responsibility for board education, evaluation of board performance, and the governance structures and practices of the Board.
To advise and assist the Board of Governors in meeting its mandate with respect to the university pension plan.
